Terms of Service

The terms governing use of angelmaile.com, and the standard terms that apply to design and engineering engagements.

Part one covers use of this website. Part two sets out the standard terms for engagements, which are incorporated into every proposal unless a signed agreement says otherwise. Everything here is written to be read, not to be survived.


1. Acceptance

By using angelmaile.com you accept these terms. If you do not accept them, please do not use the site. Where a signed engagement letter or master services agreement exists, that document takes precedence over anything in part two below.

2. Use of this website

  • You may read, print and share the content of this site for personal or internal business purposes.
  • You may not republish, resell or systematically extract the content without written permission.
  • You may not attempt to gain unauthorised access to the site, its hosting, or any connected system.
  • You may not use automated tools to place unreasonable load on the site.

3. Intellectual property on this site

The design, code, written content and photography on this site are owned by Angel Maile or used under licence. Client names, marks and project imagery remain the property of the respective clients and appear here with permission.

Case study figures are drawn from real engagements. Some are rounded and some are presented as ranges where a client has asked for commercial sensitivity to be respected.

4. Engagements: scope and change

Every engagement begins with a written proposal setting out the phases, the deliverables, the assumptions and the price. Work not described in the proposal is out of scope.

Changes to scope are quoted separately in writing and begun only once you approve them. Where I have simply underestimated my own work, the overrun is mine to absorb, not yours to fund.

5. Fees and payment

  • Thirty percent of the fee is payable to reserve dates in the calendar and is non-refundable once those dates are held.
  • Subsequent payments fall due on completion of each phase, as set out in the proposal.
  • Invoices are payable within fourteen days of issue.
  • Late payment attracts interest at the prescribed rate under the South African Prescribed Rate of Interest Act, accruing daily from the due date.
  • Retainers are invoiced monthly in advance and may be ended by either party on thirty days' written notice.
  • All fees are exclusive of VAT and of third-party costs such as hosting, licences and typefaces, which are passed through at cost.

6. What is expected from you

  • One named person empowered to approve work without convening a committee.
  • Timely feedback: consolidated review comments within five working days of each delivery.
  • Accurate content, assets and access at the times agreed in the schedule.
  • Warranty that any material you supply does not infringe anyone else's rights.
  • Delays caused by unavailable feedback, content or access may move the schedule and, where dates have to be re-reserved, the cost.

7. Ownership of the work

On receipt of final payment, all intellectual property in the deliverables (source code, design files, brand artwork and documentation) transfers to you in full and in perpetuity.

I retain the right to display the work in this portfolio and to discuss it publicly, and I will honour a written request not to. Pre-existing tools, libraries and internal utilities remain mine and are licensed to you perpetually, royalty-free, for use within the deliverables.

Third-party components remain governed by their own licences, which are documented at handover.

8. Warranty and support

Deliverables are warranted to materially conform to the agreed specification for thirty days after launch. Defects reported in that window are corrected at no charge.

The warranty does not extend to changes made by others, to failures of third-party services, or to new requirements discovered after launch. Those are new work and are quoted as such.

9. Liability

Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

Subject to that, total aggregate liability arising from an engagement is limited to the fees paid under that engagement. Neither party is liable for indirect or consequential loss, including loss of profit, revenue, data or anticipated savings.

10. Ending an engagement

Either party may end an engagement on fourteen days' written notice. On termination you pay for work completed and for work in progress up to the termination date, and I deliver everything produced to that point in a usable form.

Either party may terminate immediately if the other commits a material breach that is not remedied within fourteen days of written notice.

11. Governing law

These terms are governed by the law of the Republic of South Africa, and the parties submit to the non-exclusive jurisdiction of the South African courts.

Before litigation, both parties agree to attempt resolution through a single joint conversation and, failing that, mediation. In seven years it has never gone further than the conversation.

This document forms part of the terms on which Angel Maile operates angelmaile.com. It is written to be understood rather than to be impenetrable, and it is reviewed at least annually. If any provision is found unenforceable, the remainder continues in force.
